This Styku Consignment Agreement (“Agreement”) is entered into between Styku, LLC (“Styku”) and the customer identified on the signature page (“Customer”) as of the Effective Date listed below.
This Agreement governs Customer’s voluntary participation in Styku’s consignment program for eligible Styku hardware. By signing this Agreement, Customer agrees to the terms below.
The Styku Buyback Program allows eligible customers to return their fully functional Styku system for a guaranteed evaluation, beginning with a brief pre-approval process where customers submit required photos and complete a remote functionality check. Once approved, Styku provides prepaid shipping labels, and the customer is responsible for securely packing and sending the unit to our warehouse. After arrival, Styku conducts a detailed inspection within five business days to confirm functionality and component completeness. Passing units are then placed into a 60-day consignment period, during which Styku works to resell the system; the customer’s payout is issued once the unit is successfully shipped to a new buyer. If the unit does not sell within 60 days, Styku can either return the unit to the customer at their expense or offer a reduced parts-only payout. Ownership remains with the customer until the unit is sold or a parts-only option is accepted, and all program terms, shipping responsibilities, and final-sale policies apply.
1.1 “Consigned Unit” means the Styku hardware system identified in the Consignment Receipt associated with this Agreement, including all listed components.
1.2 “Consignment Receipt” means the transaction-specific document completed for each unit, identifying the serial number, included accessories, physical condition, and payout amount.
1.3 “Payout” means the payment Styku issues to the Customer in exchange for the Customer’s Styku unit in accordance with the terms of this Agreement.
1.4 “Inspection” means Styku’s evaluation of the Consigned Unit upon arrival at Styku’s warehouse to confirm completeness, functionality, and acceptable condition.
1.5 “Acceptance” means Styku’s confirmation that the Consigned Unit has passed Inspection and qualifies for the Payout.
2.1 Eligible Products. Eligible systems include: S100x, X2, X2 Hub, X2+, X2 Pro, X2 MD, Pro Hub, and X2L. S100 models are not eligible.
2.2 Customer Eligibility. Customer must:
(a) be the original purchaser or legal entity on record;
(b) have an account in good standing with no overdue balances; and
(c) provide truthful and accurate information regarding system condition.
2.3 Case-by-Case Exceptions. Customers inside their contractual term may participate only with Styku management approval.
2.4 Geographic Limitations. Program is available only within the continental United States.
2.5 Styku Discretion. Styku may modify eligibility rules at any time, and all eligibility determinations are final and binding. No modification affects units already accepted unless Customer materially misrepresented the unit’s condition or ownership.
3.1 Required Documentation. Prior to approval, Customer must submit:
• Photos of the tower, turntable, cables, serial number, and complete system setup;
• Confirmation of all included components;
• Participation in a remote live walkthrough to validate functionality.
3.2 Data Handling. Customer acknowledges that Styku will perform any required data wipe upon receipt.
3.3 Accuracy. Customer is responsible for the accuracy of all representations about unit condition.
3.4 Approval. Styku’s approval or denial is final and non-appealable.
4.1 Shipping Label. Styku provides prepaid shipping labels.
4.2 Packaging Requirements.
(a) Original packaging is not required.
(b) Customer must use a FedEx/UPS professional packaging service unless otherwise authorized.
(c) Customer is responsible for all packing costs.
(d) Customer acknowledges that improper packing is a leading cause of damage and assumes all liability arising from non-professional packing.
4.3 Packing Photos. Customer must submit photos of all packed boxes prior to shipment.
4.4 Shipping Method. Units must be shipped via parcel carrier unless otherwise instructed.
4.5 Risk in Transit. Customer assumes all risk of loss, theft, or damage from the moment the unit leaves Customer’s possession until Styku confirms warehouse receipt.
4.6 Disassembly. Customer must remove the base plate from the scanner tower and pack separately prior to shipping.
5.1 Inspection Period. Styku will inspect the unit within five (5) business days of warehouse receipt.
5.2 Pass Criteria. Unit must be fully functional, free from major cosmetic damage, and include all required components.
5.3 Fail Criteria. A unit fails Inspection if it has missing parts, severe cosmetic damage, functional defects, or shipping damage.
5.4 Documentation. Failed inspections include photographic evidence when applicable.
5.5 Finality. Inspection results are final.
5.6 Failed Units.
(a) Customer is responsible for the cost of return shipping.
(b) Styku will ship the unit back upon receipt of the $150 USD return fee.
(c) Any failed unit not reclaimed within sixty (60) days may be disposed of without liability.
6.1 Flat Payout. The payout for each Consigned Unit is $2,000 as listed in the Consignment Receipt.
6.2 Payout Trigger. Payout is issued only after the unit passes Inspection, is accepted, and is subsequently resold and shipped to the buyer.
6.3 Consignment Term. Styku will attempt to resell the unit within sixty (60) days.
6.4 Units Unsold After 60 Days. If unsold, Styku may:
• return the unit to Customer at Styku’s expense;
• offer a reduced parts-only payout; or
• extend the consignment period if market conditions warrant.
Parts Buyback Option: Styku may purchase components at 33% of replacement value:
• TT/Tower: $350
• Laptop: $250
• Tablet: $175
All parts must be functional and in excellent condition.
6.6 Pricing Authority. Styku maintains full discretion over resale pricing.
7.1 Customer’s subscription ends upon electing consignment.
7.2 Any outstanding balances must be resolved before order will be accepted.
7.3 Early cancellation fees still apply unless otherwise agreed.
8.1 Ownership Transfer. Customer remains the legal owner until resale is completed.
8.2 Risk of Loss.
(a) Customer bears all risk until warehouse receipt.
(b) Styku bears risk after Acceptance.
8.3 Damage Liability.
• Customer is liable for damage caused by improper packing.
• Styku is liable for damage occurring at its facility.
8.4 Unrecoverable Units. Units damaged beyond recovery due to packing issues will not be accepted.
Customer shall not interfere with Styku’s resale, marketing, pricing, or buyer relationships. Customer may not contact or attempt to identify any prospective or actual buyer. Violation may result in program removal or refusal of future participation.
10.1 Method. Payments are issued via Bill.com.
10.2 Documentation. Styku may request a W-9.
10.3 Timing. Payment is issued within fourteen (14) days after resale.
10.4 Notice. Customer will receive payout notification only.
10.5 Pre-Sale Requirements. Customer must complete all required forms and provide valid contact, shipping, and payment information before participation.
10.6 Fraud Prevention. Styku may require identity or business verification.
11.1 Customer must maintain confidentiality regarding resale details.
11.2 Customer shall not contact or seek information about the future purchaser.
11.3 Customer acknowledges Styku is not acting as its agent or representative.
12.1 Liability Cap. Styku’s total liability under this Agreement shall not exceed the payout amount.
12.2 Excluded Damages. Styku is not liable for indirect, incidental, or consequential damages.
12.3 Shipping Disclaimers. Styku is not responsible for carrier delays, loss, or damage occurring prior to confirmed warehouse receipt.
12.4 No Guarantee of Resale. Styku does not guarantee resale, resale price, or time to sell.
13.1 Disputes are resolved by binding arbitration.
13.2 Class actions are waived.
13.3 Either party may pursue eligible matters in small-claims court.
California law governs this Agreement.
15.1 Agreement applies only to the specific unit listed in the Consignment Receipt.
15.2 Styku may terminate this Agreement immediately upon misrepresentation, rule violation, failure to pay fees, or interference with resale operations.
This Agreement, together with the Consignment Receipt, constitutes the full understanding of the parties. No external statements or representations modify this Agreement.
